Senior Special Counsel


DianeDiane Citron is the Senior Special Counsel of Proprium Capital Partners, L.P. Prior to taking the role as Senior Special Counsel, Diane was the General Counsel and Chief Compliance Officer of Proprium, having started and developed the Legal and Compliance Departments since the inception of the Firm. Prior to joining Proprium, Diane was the Senior Vice President, Director of Strategy for Ally Financial, Inc. and GMAC ResCap, a subsidiary of Ally. As Director of Strategy, Ms. Citron was responsible for various strategic projects relating to origination, servicing and trading of mortgages at Ally’s subsidiaries. She was part of the senior management team and was responsible for compliance with various federal and state regulatory and other legal orders affecting the mortgage operations of Ally Financial Inc. She was also responsible for providing industry relations and market information to executive management regarding the mortgage, securities and regulatory environment affecting Ally and its subsidiaries.

From 2005 to 2010, Diane was the Executive Vice President of Regulatory Affairs and the General Counsel and Chief Compliance Officer of Carrington Capital Holdings, LLC, the holding company of a full service mortgage company including a registered broker-dealer, an investment adviser, a property management company and a real estate company. As General Counsel and Chief Compliance Officer, she was responsible for building the Legal Department and Compliance group of Carrington and for the day to day activities and operations of such departments. She established a broker-dealer for the company, negotiated transactions and strategic acquisitions and completed several preferred offerings and distressed asset transactions. She also provided day to day corporate and strategic advice to the General Partner and Executive Committee of all the Carrington companies as well as handled all press and governmental communications inquiries, including litigation matters. Prior to joining Carrington in 2005, Diane was with Mayer Brown, LLP, where she was a Senior Partner and the Co-Head of the then 100 lawyer worldwide securitization practice. As a lawyer at Mayer Brown, Skadden Arps, Brown & Wood and Orrick, she represented issuers, underwriters, investors, lenders and credit enhancers in connection with financial and securities transactions, both public and private and both foreign and domestic.

Diane received her J.D. from Case Western Reserve University School of Law and her B.A. in Spanish from Franklin & Marshall College.
